 |
- The prices indicated refer to the sale specified and do not include the cost of packing, unless otherwise agreed upon in writing. Sales will be made only on the basis of these general
conditions.
- The contract is considered as concluded on the date of the order confirmation sent by Contrive to the Purchaser. All risks relative to the goods, also in the case of freight-prepaid sales, will pass to the Purchaser upon delivery of the goods to the shipping agent or
carrier.
- In cases of goods ready on stock, Contrive reserves the right to make shipments directly. In these cases the issue of the invoice will replace the order confirmation mentioned in the above article 2.
- The Purchaser shall clearly indicate the products covered by the order setting forth the code number and product descriptions shown in Contrive’s product lists for the purpose of identification only. In the event of order for quantities not provided for, Contrive may fill this orders with the packages of products which are closest to the quantities
requested.
- Contrive reserves the rights, whenever appropriate for technology improvements or requirement of production, to make minor changes or variations in the goods and/or services supplied, giving simple notice to the
Purchaser.
- If a single order involve the sale of more than one article, Contrive reserves the right to ship and invoice each article separately, without waiting for the completion of the whole order. The corresponding partial invoices shall be paid by the Purchaser in accordance with the conditions agreed for the complete
order.
- Products will be delivered to the Purchaser Ex-Works at Contrive’s factory in Suisio, unless otherwise agreed upon writing. In the case of sales for delivery in other locations the Purchaser shall bear the cost of any increase in freight
costs.
- The delivery terms are not essential. The Purchaser shall have no right to claim damages for delay in delivery due to causes of force majeure. Causes of force majeure shall include, but not limited to, controls of Public Authorities, natural disaster, strikes either general or in a sector, etc. If the delivery or the shipment of the goods is delayed upon the request of the Purchaser , payment of the price shall nevertheless be made on the agreed due state. Related costs and risks shall be borne exclusively by the
Purchaser.
- Contrive reserves the right to change the price lists without the need for prior notice to the
Purchaser.
- All payments shall be made to Contrive’s offices in Suisio within the time limits provided
for.
- In the event of instalment sales or postponed payments, property of goods will pass to the Purchaser only with the payment of the last instalment of the price (art. 1523 of the Italian Civil Code) or of the entire amount of the invoice, as the case may be nevertheless, the passing of risks take place in accordance with article 2
hereof.
- In the event of delayed payment, the Purchaser shall pay Contrive interest for delay at current commercial rates, plus collection costs, from the due date to the date of payment. Contrive shall have the right to recoup against the Purchaser after the due date by issuing sight
drafts.
- All products sold are covered by warranty on the conditions set forth in the warranty certificate or in the documentation furnished together with the
products.
- The Purchaser has no right to return the goods, even if under warranty, unless previously authorized in writing case by case by Contrive. The cost and risk of transportation to and from Contrive factory in Suisio shall in any event be borne exclusively by the
Purchaser.
- All supplies are governed by Italian Law. All disputes arising between the parties concerning the interpretation and/or performance of trades subject to this general conditions shall be within the exclusive competence of the Courts of Bergamo or the Courts of the place in which Contrive may subsequently transfer its registered office.
